Circle to Acquire Fintech Startup Tazapay in Reported $400 Million Deal

Circle to Acquire Tazapay in $400 Million All-Stock Deal

Circle Internet Group has agreed to acquire Singapore-based cross-border payments company Tazapay in a $400 million stock deal, adding Tazapay’s payment network and local payout connections to Circle’s global payments business.

The Tazapay Circle acquisition was announced on September 8, after Circle entered into a definitive share purchase agreement. Circle, the company behind the USDC stablecoin, plans to acquire the outstanding shares of Tazapay through an indirect wholly owned subsidiary.

According to a filing by Circle with the U.S. Securities and Exchange Commission, the aggregate consideration for the transaction is $400 million. The payment will be made in Circle Class A common stock, with adjustments based on Tazapay’s cash, unpaid debt and transaction expenses.

The number of Circle shares issued as part of the deal will be calculated using the average closing price of Circle stock over the 20 trading days immediately before the transaction closes.

Tazapay processes more than $25 billion in annualised payments

Tazapay provides cross-border payment infrastructure to payment service providers, fintech companies and financial institutions. Circle said the company was processing more than $25 billion in annualised payment volume as of July 31, 2026.

Its network includes more than 60 banking and fintech partners, along with local payout rails covering over 100 markets. Around 60{fb7991206fa1b0b2793204c6175e22b7055ef850b5ce62998547b1c0a745b882} of Tazapay’s transaction volume already involves stablecoins.

Circle expects the Tazapay acquisition to extend its ability to move funds between stablecoins and local currencies, particularly across Asia-Pacific and other markets where cross-border digital payments are growing.

Circle and Tazapay already had an existing relationship

The deal follows an existing business and investment relationship between the two companies. Tazapay has worked as a design partner for the Circle Payments Network since 2025.

Circle Ventures also led an extension of Tazapay’s Series B funding round earlier in 2026. That round brought Tazapay’s total Series B funding to $36 million.

By bringing Tazapay into its business, Circle will gain access to payment infrastructure that connects local banking systems with stablecoin-based transactions. Circle plans to use the network to support USDC payments across more countries and payment routes.

What happens to Tazapay customers?

Tazapay said customers should not see immediate changes because of the proposed acquisition. Existing contracts, integrations, virtual accounts, payout routes and settlement arrangements will continue under their current terms.

Circle also said there should be no disruption to Tazapay’s services, APIs, pricing or customer support as the transaction moves through the approval process.

Tazapay said it will continue operating under the same brand with its current team, products and licences while the transaction is pending.

Circle-Tazapay deal expected to close in 2027

The Circle Tazapay transaction has not yet closed. The companies expect the acquisition to be completed in 2027, subject to customary closing conditions and regulatory clearances.

One of the required approvals is from the Monetary Authority of Singapore. Until those conditions are met and the transaction closes, Circle and Tazapay will continue operating under their existing arrangements.
